Terms of Use
These Terms govern access to and use of the B2Base, including its business listings, modules, contact features, submission forms, communications and related services.
1. Eligibility and authority
You may use the B2Base only if you are at least 18 years old, have legal capacity to enter into a binding agreement and use the platform for lawful business purposes.
If you act for a company, organization or another person, you represent that you are authorized to submit information, communicate and accept these Terms on their behalf.
We may request evidence of identity, authority, ownership, licensing or business status, but we are not obligated to do so.
2. Role of the platform
The B2Base is a business listing, discovery and communication platform. It enables users to publish and browse business requests, offers, profiles, promotions and other commercial information.
Unless expressly stated otherwise, the B2Base is not a party to any transaction and is not acting as a seller, buyer, carrier, freight forwarder, broker, recruiter, employment agency, insurer, lender, payment processor, escrow provider, real estate representative, legal adviser or commercial agent.
We do not negotiate agreements for users, collect or guarantee payments between users, take possession of goods, provide transportation, employ listed workers or guarantee that any listing will receive a response or result in a completed transaction.
3. Listings and submitted information
A “Listing” includes any request, offer, supplier profile, transport request, transport offer, staffing request, equipment listing, property listing, business opportunity, attachment, image, document, description, price, route, contact detail or other content submitted to the platform.
By submitting a Listing, you represent and warrant that:
- the information is accurate, current, complete and not misleading;
- the Listing is genuine and submitted for a legitimate business purpose;
- you are authorized to publish the Listing and all included information;
- you have all rights and permissions necessary for submitted text, images and files;
- the Listing complies with applicable laws, regulations and industry requirements;
- the Listing does not infringe intellectual property, privacy, confidentiality or other rights;
- prices, quantities, dates, routes, availability and commercial terms are presented honestly; and
- you will promptly correct or archive information that becomes inaccurate or unavailable.
You remain solely responsible for your Listing and for all consequences arising from it.
4. Licence to use submitted content
You retain ownership of content that you submit.
By submitting content, you grant the B2Base a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to host, store, reproduce, format, display, publish, distribute, index, cache, resize, promote and otherwise use that content as reasonably necessary to operate, secure, improve and market the platform.
This licence may continue for a reasonable period after a Listing is archived or removed where required for backups, security, legal compliance, dispute resolution, fraud prevention and record retention.
5. Email confirmation and private management links
The B2Base may send confirmation and management emails to the address provided with a Listing. These emails may contain private links allowing the recipient to confirm an email address, archive a Listing or perform another authorized action.
You are responsible for maintaining the security of your mailbox and private management links. Anyone with access to the mailbox or link may be able to manage the Listing.
Email confirmation confirms control of an email address only. It does not verify identity, business authority, accuracy, ownership, licensing, insurance, financial condition or legitimacy.
6. Moderation, approval and removal
The B2Base may, but is not obligated to, review Listings or user activity.
We may edit formatting, change categorization, request information, delay publication, reject, restrict, archive, suspend or remove any Listing or access at any time, with or without prior notice, where we reasonably believe this is necessary to protect users, the platform or third parties.
Publication, moderation, ranking, labeling or continued availability of a Listing does not constitute verification, certification, endorsement, approval or recommendation by the B2Base.
7. Archived, expired and inactive Listings
Listings may be archived by the person controlling the private management link, by the B2Base or automatically after an applicable listing period.
Archived and expired Listings may remain visible for reference, platform integrity, recordkeeping or legal purposes. Contact details are unavailable for archived listings.
Archiving does not necessarily cause immediate or permanent deletion from databases, logs, backups, search caches or records that we are entitled or required to retain.
8. Prohibited Listings and conduct
You must not use the B2Base to:
- violate applicable law or facilitate unlawful conduct;
- commit fraud, impersonate another person or misrepresent authority;
- publish false, deceptive, misleading, unauthorized or materially incomplete information;
- offer stolen, counterfeit, prohibited, unsafe or unlawfully obtained goods or services;
- publish confidential, private or personal information without proper authority;
- infringe copyright, trademark, privacy, confidentiality or other rights;
- send spam, harvest contact information or misuse information obtained through the platform;
- scrape, copy or systematically extract platform data without written permission;
- introduce malware or attempt to bypass, overload, probe or disrupt platform security;
- manipulate views, contact counts, rankings, engagement metrics or platform functions;
- submit duplicate Listings intended to dominate or distort search results; or
- use the platform in a manner that may expose the B2Base, its users or third parties to harm.
We may preserve information and report suspected unlawful conduct to appropriate authorities where permitted or required by law.
9. Contact information and communications
Contact details are provided to facilitate direct business communication. Users must use them responsibly and only for legitimate purposes related to the relevant Listing.
The B2Base does not control or guarantee messages, quotations, representations, negotiations, invoices, payment requests, delivery instructions, employment arrangements or other communications exchanged between users.
You should not disclose confidential, financial or commercially sensitive information until you have independently verified the recipient and established appropriate protections.
10. Transactions, payments and disputes
All communications, negotiations, contracts and transactions occur directly between users and entirely at their own risk.
Users are solely responsible for agreeing on scope, price, taxes, payment terms, deposits, insurance, inspections, delivery, acceptance, cancellations, warranties, refunds, liability and dispute procedures.
The B2Base does not collect, hold, transfer, recover or refund money between users and has no obligation to mediate disputes, enforce contracts or obtain compensation for any party.
11. Verification and due diligence
Users are solely responsible for evaluating Listings, users and commercial opportunities.
Before entering into any agreement, you should independently verify all relevant information, including identity, business registration, authority, ownership, licences, permits, certifications, insurance, financial condition, goods, services, cargo, equipment, staffing qualifications, availability, pricing, legal compliance and contractual terms.
The B2Base does not independently inspect, audit or verify Listings unless we expressly state otherwise in writing.
12. Platform availability and changes
The B2Base may modify, restrict, suspend or discontinue any feature, module or part of the platform at any time.
We do not guarantee uninterrupted availability, error-free operation, email delivery, permanent retention of Listings, compatibility with every device or browser, recovery of lost data or continued availability of any particular feature.
Users should retain their own copies of important information and communications.
13. Disclaimer of warranties
To the maximum extent permitted by law, the platform is provided on an “as is” and “as available” basis.
The B2Base disclaims all express, implied, statutory and collateral warranties, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, title, non-infringement, availability, security, quality, legality, reliability and commercial success.
We do not warrant that any Listing, user, product, service, opportunity or transaction is genuine, lawful, safe, profitable, insured, available or suitable.
Nothing in these Terms excludes any warranty, remedy or right that cannot lawfully be excluded.
14. Limitation of liability
To the maximum extent permitted by law, the B2Base and its owners, operators, affiliates, directors, officers, employees, contractors and service providers will not be liable for indirect, incidental, consequential, special, exemplary or punitive loss or damage.
This exclusion includes lost profits, revenue, business, opportunity, data, reputation, payments, cargo, property, delivery time, business interruption and losses arising from another user, a Listing, communication, transaction, fraud, breach of contract or inability to access the platform.
Where liability cannot be excluded, the total aggregate liability of the B2Base arising out of or relating to the platform will not exceed the greater of:
- the amount paid directly by you to the B2Base during the twelve months preceding the event giving rise to the claim; or
- CAD $100.
This section does not limit liability that cannot lawfully be limited or excluded.
15. Indemnification
You agree to defend, indemnify and hold harmless the B2Base and its owners, operators, affiliates, directors, officers, employees, contractors and service providers from claims, proceedings, liabilities, losses, damages, judgments, penalties, costs and reasonable legal fees arising from or related to:
- your use of the platform;
- your Listing, content, goods or services;
- your communications or transactions;
- your breach of these Terms;
- your violation of law; or
- your infringement of third-party rights.
The B2Base may assume control of the defence of a matter subject to indemnification, and you agree to provide reasonable cooperation.
16. Privacy, consent records and security information
Use of personal information is also governed by the B2Base Privacy Policy.
To operate, secure and document use of the platform, the B2Base may collect and retain information such as names, business information, email addresses, telephone numbers, IP addresses, browser and device information, submission times, consent records, confirmation events, management actions and platform activity.
Do not submit personal information that you are not authorized to provide. You are responsible for obtaining any consent required before publishing another person’s information.
17. Intellectual property
The platform, including its branding, design, software, layout, databases, text, graphics, logos and original content, is owned by or licensed to the B2Base and is protected by applicable intellectual property laws.
You may not copy, reproduce, modify, distribute, sell, license, scrape, frame or commercially exploit the platform or its content without prior written permission, except where expressly permitted by law or these Terms.
The name “the B2Base,” its branding and platform design may not be used in a manner suggesting sponsorship, approval or affiliation without written authorization.
18. Suspension and termination
The B2Base may restrict, suspend or terminate access or remove content where reasonably necessary to enforce these Terms, protect users or the platform, prevent fraud or abuse, comply with law or manage operational and legal risk.
Termination does not affect provisions that should reasonably survive, including content licences, disclaimers, liability limitations, indemnification, intellectual property, dispute and record-retention provisions.
19. Governing law and jurisdiction
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.
Subject to rights that cannot lawfully be restricted, the courts located in Toronto, Ontario will have exclusive jurisdiction over disputes arising from or relating to these Terms or the platform.
Before starting formal proceedings, the parties should make reasonable efforts to resolve the matter through written communication.
20. Changes and general provisions
The B2Base may update these Terms from time to time. Updated Terms will show a new effective date or version number. Continued use after updated Terms become effective constitutes acceptance, except where a new affirmative acceptance is required by law or requested by the B2Base.
These Terms, together with policies expressly incorporated by reference, constitute the entire agreement concerning use of the platform.
If any provision is held invalid or unenforceable, the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver.
You may not assign your rights or obligations without written consent. The B2Base may assign these Terms in connection with a restructuring, financing, acquisition, sale or transfer of the platform or its business.
Headings are for convenience only and do not affect interpretation.
